01Acceptance of these terms
These Terms & Conditions (“Terms”) govern your use of gninfotech.in (the “Website”) and the services provided by GN Infotech Solutions (“GN Infotech”, “we”, “us” or “our”), Sector 34, Noida, Uttar Pradesh, India.
By using the Website or engaging our services, you (“you” or the “Client”) agree to these Terms. If you do not agree, please do not use the Website or our services.
02Our services
We provide custom software development, Android & iOS app development, website development, business automation, CAD & GIS solutions, desktop software development and related support and maintenance services (the “Services”).
Information on this Website describes our Services in general terms and does not form an offer. The exact scope, features, deliverables, timeline and price of each project are set out in a written quotation, proposal or agreement (the “Project Agreement”). If the Project Agreement conflicts with these Terms, the Project Agreement prevails.
03Quotations and project scope
- Quotations are valid for 30 days from the date issued unless stated otherwise.
- Work begins once you have accepted the quotation and paid any agreed advance.
- Requests for new features or changes outside the agreed scope are treated as change requests and may affect the price and timeline. We will confirm any such change with you in writing before starting the work.
04Fees and payment
- Fees, payment milestones and due dates are set out in the Project Agreement. Unless agreed otherwise, projects are billed in milestones, with an advance payment before work starts.
- All prices are exclusive of applicable taxes such as GST, which will be added to invoices where applicable.
- Third-party costs, such as domain names, hosting, servers, paid APIs, Google Play or Apple developer accounts and software licences, are payable by you unless included in the quotation.
- If payments are delayed, we may pause work, and delivery dates will be extended accordingly.
- Advance payments are non-refundable once work on the corresponding milestone has started, unless agreed otherwise in writing.
05Your responsibilities
To help us deliver on time, you agree to:
- provide accurate requirements, content, data and approvals promptly;
- give us the access and credentials we reasonably need, such as hosting or store accounts;
- review and test deliverables within the agreed time and report issues clearly; and
- ensure that any content, data or materials you provide do not infringe anyone else’s rights or break any law.
Delays in providing information, feedback or approvals may extend the project timeline.
06Delivery and acceptance
We will deliver the work according to the milestones in the Project Agreement. A deliverable is considered accepted when you approve it, start using it in live operation, or do not report any material defects within 7 days of delivery, whichever comes first.
07Intellectual property
- Your custom work: once you have paid all fees in full, ownership of the custom source code, designs and deliverables created specifically for your project passes to you, unless the Project Agreement states otherwise.
- Our tools: we keep ownership of our pre-existing code, libraries, frameworks, templates and know-how. Where these are included in your deliverables, you receive a permanent, non-exclusive licence to use them as part of your project.
- Third-party components: open-source and third-party software included in your project remains subject to its own licence terms.
- Our website: all content, logos, illustrations and designs on this Website belong to GN Infotech and may not be copied or reused without our written permission.
08Confidentiality
Both parties agree to keep the other’s confidential business information, data and trade secrets private and to use them only for the purpose of the project. We do not publicly name our clients or display their projects without their written consent. These obligations continue after the project ends.
09Warranty, support and maintenance
- Every project includes a free support period, stated in the Project Agreement, during which we fix defects in the delivered work at no extra cost.
- The free support period covers bugs in our work. It does not cover new features, changes in requirements, or problems caused by third-party services, hosting, misuse or modifications made by others.
- After the free support period, ongoing support, updates and maintenance are available under an Annual Maintenance Contract (AMC) or on a paid basis.
10Third-party services
Projects may depend on third-party services such as hosting providers, payment gateways, app stores, SMS, email and WhatsApp providers, maps and other APIs. We are not responsible for their availability, pricing changes, policy changes or decisions, including app store review or approval decisions, although we will help you meet their requirements.
11Limitation of liability
To the maximum extent permitted by law:
- we are not liable for any indirect, incidental or consequential loss, including loss of profits, revenue, data or business opportunity; and
- our total liability for any claim relating to a project is limited to the fees you have paid us for that project.
You are responsible for keeping regular backups of your data and content.
12Use of this website
You agree not to misuse the Website, including by attempting to gain unauthorised access, disrupting its operation, or using it for any unlawful purpose. The Website is provided “as is”, and while we work to keep it accurate and available, we do not guarantee that it will always be error-free or uninterrupted.
13Termination
Either party may end a project by giving written notice if the other party seriously breaches these Terms or the Project Agreement and does not fix the breach within 15 days of being notified. If a project ends early, you will pay for the work completed up to the date of termination, and we will hand over the completed work once that payment is received.
14Governing law and disputes
These Terms are governed by the laws of India. We will first try to resolve any dispute amicably through discussion. If it cannot be resolved within 30 days, it will be subject to the exclusive jurisdiction of the courts at Gautam Buddh Nagar (Noida), Uttar Pradesh.
